Associate General Counsel


Software AG is seeking an experienced attorney to join our team with a primary focus on contracts and compliance. In this role, you will be supporting Software AG’s expanding business with Enterprise Digital Transformation Technology customers as well as general corporate matters.  


Ideal candidates will have direct experience drafting, reviewing, and negotiating sophisticated contracts and navigating highly regulated procurement and compliance processes for both public companies and federal, state and local governments and their respective agencies. Top tier writing and analytical skills are required, as is a demonstrated ability to recognize and weigh business and legal risks, think strategically, communicate with stakeholders and advance practical solutions. 


About the Job 


  • Guide Software AG in assessing risk in the context of our broader strategic imperatives, including without limitation help in assessing approaches to improving alliances and channels business activities 
  • Develop close working relationships with business stakeholders to facilitate efficient and effective preparation and submission of proposals to various entities 
  • Review solicitations and advise the business on risks and appropriate responses 
  • Work directly with business leaders and members of Software AG's global legal team to identify and address legal risks and issues raised by doing business contracts with various corporations and government agencies 
  • Draft, analyze, interpret, and negotiate a wide range of agreements with public and private sector clients 
  • Handle operational matters and provide general legal advice to our team 
  • Liaise and interact with various corporations and government agencies on a regular basis to discuss and negotiate various contract provisions and procurement issues 
  • Present arguments to higher-level attorneys and (when and where appropriate) to partners to help shape strategic decisions made by those individuals 
  • Daily collaboration with all teams, especially sales, to ensure consistent workflow and timely production 
  • Respond to the unexpected in a hyper-growth high-tech environment 


About You 


  • 15+ years of attorney experience in public and private contracting and/or regulatory compliance 
  • Knowledge of federal, state, and local government contracting rules with significant experience at the state and local level 
  • Juris Doctor and licensed and in good standing to practice law 
  • A thorough understanding of contracting and compliance statutes and regulations 
  • Excellent commercial judgment and full familiarity with an attorney's duties regarding confidentiality, privilege, and client care 
  • Team player who wants to learn, takes initiative and is willing to wear whatever hat is required 
  • Strong ability to work efficiently and effectively with limited supervision on time sensitive materials 
  • Proficiency working in a Windows environment, and specifically with Microsoft 365, Microsoft Excel, Word, PowerPoint, SharePoint, and others as required 
  • Exceptional interpersonal and communication skills (verbal and written) 
  • Working knowledge of U.S. privacy laws and state data regulations is preferred 
  • Prior in-house experience, particularly in the tech industry working on public and private contracts is preferred
