Position Purpose:  Provide legal guidance to the Software AG Americas sales and services organizations under the supervision of managing counsel.   Review legal data and advise organization on appropriate legal action to be taken, including the management and coordination of legal matters handled by outside counsel.  Administer company policies that affect their substantive area and the organization.

 

Essential Job Functions

 

  • Provide legal guidance to the sales and services organizations
  • Ability to identify and recommend necessary actions to the managing counsel and, as applicable, clients and management, to mitigate legal risk to the organization
  • Represent the organization on company projects and external customer matters
  • Other assigned duties as needed, including dispute/litigation management and merger and acquisition support

 

Supervisory responsibility: Position may involve supervisory responsibilities

 

Requirements 

 

Skills

  • General corporate experience, including drafting and negotiating transactional documents, working knowledge of privacy regulations and mergers and acquisitions support
  • Experience drafting and negotiating complex agreements related to software sales and services, with a preference for experience with SaaS agreements
  • Ability to effectively identify and balance legal risk against business opportunity
  • A proven team player with excellent communication and interpersonal skills
  • Desire to constantly develop skills, qualifications and job-related knowledge
  • Other skills as may be specified by management

 

Education and Experience

 

  • Juris Doctor from an accredited law school
  • Minimum of two (2) years of in-house or equivalent law firm experience, with one (1) or more years of general transactional and corporate experience preferred
  • State Bar membership required
  • Knowledge of and experience advising companies in the IT business and understanding of competitive landscape for products owned by Software AG
  • Specialized knowledge or experience in more than one major area of relevant law or legal practice
  • Other experience as may be specified by management
